Information on the Vanguard Frequent Trading Policy

Why does Vanguard have a Frequent Trading Policy?

Vanguard’s frequent trading policy is designed to protect their funds’ long-term shareholders and also provide the flexibility intermediaries need to manage our mutual fund clients’ assets.

Other than ETFs, Vanguard funds are structured for long-term investing—not market-timing. Short-term investing, or unlimited trading, can negatively affect the value of fund shares held by long-term shareholders, interfere with the efficient management of the fund’s portfolio, and increase brokerage and administrative costs. All these factors can reduce fund returns.

How does the Vanguard Frequent Trading Policy work?

Shareholders may redeem or exchange shares out of a mutual fund account at any time. However, shareholders cannot purchase or exchange back into the same fund account during the 30 calendar days following their most recent redemption or exchange out. This 30-day restriction is designed to limit frequent trading, which can raise transaction costs for all shareholders.

As an intermediary of the fund, we are required to enforce this retrition. The good news is that this policy has a number of exception the policy to allow plans to operating with limited impact. The following are exempt from the policy:

• All trades under $10,000. This is enforce at the accountholder level and is subject to change per Vanguard’s discretion
• ETFs
• Vanguard money market and short-term bond funds
• Purchases of shares made to reinvest dividends or capital gains distributions
• Purchases of share made as part of a rollover
• Redemptions for fee, distributions or loans
• Advisor-directed discretionary trade include model portfolios and rebalances
• Systematic trades, such as automated trading services that are set to occur on a periodic basis

When will the Frequent Trading Policy be enforced?

Give all of the above exceptions, the Frequent Trading Policy will only be enforce on saver initiated rebalances/reallocations. For example:

If you have make any changes to your investment election/allocation that result in a sell of a Vanguard fund(s) over $10,000 and then try to buy back the same fund(s) within your target asset allocation, your target allocation will exclude the Vanguard fund and your remaining target asset allocation will be pro-rated.

• Example:
  • Your current investment election is split between the following two funds and you account currently holds:

    • $15,000 VFIFX - Vanguard Target Retirement 2050 Fund

    • $15,000 SPY - SPDR® S&P 500® ETF

  • On 6/1 you change your investment election to 100% SPY.
    • This will create a SELL of $15,000 of VFIFX

  • This SELL will activate the Vanguard FTP, meaning that you cannot repurchase VFIFX for 30 days as part of a saver initiated rebalance/reallocation

  • On 6/20 you change your investment election to 20% SPY, 60% VFIFX, 20% BND.

    • The rebalancer will attempt to create the following trades:

      • SELL $14,000 SPY

      • BUY $6,000 BND

      • BUY $18,000 VFIFX

    • But since the FTP restriction applies you cannot buy VFIFX until after 7/1, the rebalancer will automatically adjust the proposed trades to prorate the amount across the funds in your allocation that can be purchase. You proposed trades would be the following and the Trade Preview screen will alert you to the fact that the trades were adjusted due to the restriction:

      • SELL $15,000 SPY

      • BUY $15,000 BND

    • Your investment election for future contributions will be updated to 20% SPY, 60% VFIFX, 20% BND as the FTP does not apply to buys related to payroll/rollover contributions
  • If instead on 6/20 you changed your investment to 100% VFIFX
    • The rebalancer will attempt to create the following trades:

      • SELL $30,000 SPY

      • BUY $30,000 VFIFX

    • But since the FTP restriction applies you cannot buy VFIFX until after 7/1, the rebalancer will attempt to automatically adjust the proposed trades to prorate the amount across the funds in your allocation that can be purchase. In this case since there are no funds that it can purchase no trades will be created. The Trade Preview screen will alert you to this fact.
    • Your investment election for future contributions will be updated to 100% VFIFX as the FTP does not apply to buys related to payroll/rollover contributions
